SEBI forms panel under the Chairmanship of Justice P N Bhagwati to review norms for corporate take-over

SEBI has decided to set up an expert committee to review the existing regulations relating to corporate takeovers. Chaired by Justice P. N. Bhagwati, the committee will examine the 1994 SEBI (Substantial Acquisition of Shares and Takeovers) Regulations to suggest amendments that make them more fair, transparent, and equitable. The panel aims to protect the interests of all stakeholders, particularly small investors, while clarifying the roles of various parties in the takeover process. Additionally, the committee will define the powers of SEBI in such matters to ensure smoother implementation. This review is considered necessary to address the needs of a more dynamic and competitive corporate environment.

There was another resounding market crash. The advisory committee recommends allowing trading in euro bonds, establishing a repo market, and introducing "debt managers" to provide two-way quotes. The panel also advocates for a more liberal view on short selling to enhance liquidity and suggests bringing private debt placements by unlisted companies under SEBI's jurisdiction.
